Job Description

Responsible for ensuring that the Institution complies with standard legal practice and maintains high standards of corporate governance.
Although not strictly required to provide legal advice, Corporate Secretary must have a thorough understanding of the laws that affect his/her areas of work.
Corporate Secretary holds a strategic position at the heart of governance operations within the Institution and acts as a point of communication between the board of directors and company shareholders. Corporate Secretary also provides an important link between the board of directors and the Chief Executive Officer.
Responsibilities
 organizing and preparing agendas and papers for board meetings, committees and annual general meetings (AGMs);
 taking minutes, drafting resolutions, lodging required forms;
 following up on actions from meetings;
 overseeing policies, making sure they are kept up to date and referred to the appropriate committee for approval;
 maintaining statutory books, signed minutes and resolutions, including registers of members, directors and secretaries;
 dealing with correspondence, collating information and writing reports, ensuring decisions made are communicated to the relevant company stakeholders;
 monitoring changes in relevant legislation and the regulatory environment and taking appropriate action;
 liaising with external regulators and advisers, such as lawyers;
 Part-time work is available.
