OVERALL PURPOSE

 

This role will assist the corporate secretary fulfils her duties as stipulated by law and as assigned by the board of directors, ensure that the board activities and decisions are in compliance with relevant laws, rules, regulations and directives, and is expected to ensure the integrity of the corporate governance framework of the Bank as well as to interpret any written material from Myanmar to English and English to Myanmar vice versa by ensuring context and meaning are maintained. The successful candidate will also assist with enhancing current relationships with the institutional investor.

 

DUTY AND RESPONSIBILITIES

  • Coordinating with nominated directors to obtain necessary information for the regulatory approval for the appointment;
  • Maintaining, and retaining the company’s statutory books in MyCo filing system for the Bank;
  • Maintaining all required official documents, reports and records of Board of Directors and Shareholders in accordance with applicable laws and regulations.
  • Interpreting any written materials from Myanmar to English, and English to Myanmar by ensuring the context and meanings are maintained.
  • Translating a variety of documents including policies, contracts, government related letters (incoming/ outgoing) and other documents
  • Working with all stakeholders across the Bank to understand the nature of communications and key messages needing to be translated.
  • Being responsible for translation of the Bank’s corporate messaging on website and annual reports.
  • Managing relationships and all issues relating to the Board of Directors and Shareholders, including convening Board, Committee and General Meetings;
  • Supporting the corporate secretary in arranging meetings of the directors and the shareholders. This responsibility will involve the issue of proper notices of meetings, preparation of agenda, circulation of relevant papers and taking and producing minutes to record the business transacted at the meetings and the decisions taken as per the Bank’s constitution;
  • Monitoring developments and evolving best practices in corporate governance and assisting the board in implementation, as needed;
  • Supporting the corporate secretary and the board of directors, as needed; responding to director requests as they arise. 

Skills & Competencies:

  • Preferably 3 – 5 years’ in relevant role & experience.

  • Ability to produces clear, accurate various documents including policies, contracts, government related letters, minutes – noting meeting dynamics as well as decisions and rationale.
  • Ability to tailor the content and style to connect with all employees in English and Myanmar.

  • Ability to build upon analysis provided to make informed decisions.
  • Ability to recommend possible solutions and escalate appropriately.

  • Bachelor’s Degree is a must. Bachelor’s degree in law, business, finance or economics and other related qualifications are highly preferred.
  • Advanced proficiency with Microsoft office, particularly Excel and Power Point

  • 3-5 Years relevant Marketing/Brand/Communication role & experience.
  • Ability to work in a disciplined and organized manner
  • Excellent written and verbal skills, relationship-building skills, and the ability to collaborate with the executive team, board of directors and shareholders.
  • Ability to tailor the content and style to connect with all employees in English and Myanmar
  • Manage time effectively and work well under pressure to meet deadlines

Languages

Essential

  • Excellent written and verbal skills, relationship-building skills, and the ability to collaborate with the executive team, board of directors and shareholders
  • Fluency in both English and Myanmar, written and verbal communication with good understanding of grammar, knowledge of specific subjects, interpersonal communication, accuracy, and attention to detail
