– Monitor branch operations to ensure compliance with organizational policies, procedures, expenditure rules, and operational standards. – Supervise staff performance, resolve conflicts, address misconduct, and take disciplinary action in accordance with company policy. – Evaluate branch performance, monitor achievement of operational targets, and implement corrective actions where necessary. – Prepare area-wise fund plans, monitor branch income and expenditure, and oversee proper financial management practices. – Review, consolidate, and submit area-wise MIS reports and maintain accurate operational records and documentation. – Conduct regular branch visits, client verification, loan monitoring, and field supervision to ensure operational quality and compliance. – Conduct area surveys, prepare operational plans, and support expansion of branch activities based on business opportunities. – Maintain effective relationships with government officials, community leaders, and local stakeholders to support organizational activities. – Handle investigations, monitor irregularities, manage operational risks, and coordinate legal actions when necessary. – Monitor overdue loans, develop recovery strategies, and ensure effective management of default portfolios within the assigned area.
– Manage the establishment and administration of the branch office in line with organizational policies and approved budget. – Handle staff requisition, onboarding, and overall management to ensure and effective workforce at the branch. – Supervise staff performance, monitor daily activities, and enforce discipline in accordance with company rules and regulations. – Plan, survey, and allocate operational areas effectively to field staff based on business potential and coverage. – Oversee group formation and ensure 100% physical verification of clients before approval in compliance with company policy. – Approve and monitor loan disbursement, utilization, repayment, and savings operations to ensure portfolio quality. – Conduct regular field visits to monitor activities, ensure compliance, and prevent irregularities or fraud. – Develop and implement branch plans, set targets, and ensure achievement of financial and operational goals. – Manage branch funds, cash flow, banking transactions, and ensure accurate accounting and financial control. – Prepare timely reports, coordinate with internal and external stakeholders, and maintain strong community relationships.
A. Legal Strategy and Risk Management Develop and implement ASA Myanmar’s legal strategy, policies, and legal risk management framework in alignment with corporate objectives. Identify, assess, and mitigate legal and regulatory risks arising from banking operations, credit activities, and contractual relationships. Provide legal input into credit risk assessment, ensuring loan documentation and collateral structures adequately protect the ASA Myanmar’s interests. Ensure ASA Myanmar’s lending activities, recovery processes, and collateral management comply with applicable laws and regulatory requirements. Maintain a proactive legal risk monitoring system to prevent potential litigation and regulatory breaches. B. Legal Advisory and Regulatory Compliance Provide timely and strategic legal advice to Executive Management and the Board on banking operations, credit transactions, regulatory requirements, and contractual matters. Ensure full compliance key Financial regulators and other relevant statutory requirements. Monitor developments in laws, regulations, and industry standards affecting the ASA Myanmar’s and advise Management accordingly. Review internal policies to ensure compliance with legal and regulatory frameworks governing financial institutions. C. Contract Management and Documentation Draft, review, vet, and negotiate contracts, loan agreements, collateral documentation, service agreements, and Memoranda of Understanding (MOUs). Ensure that all contracts and agreements adequately mitigate legal and financial risks to ASA Myanmar. Integrate credit risk considerations into loan documentation, ensuring adequate security and enforceability of credit facilities. Establish contract management procedures and maintain a central repository of all legal agreements. D. Litigation and Dispute Resolution Manage litigation, arbitration, and dispute resolution matters involving ASA Myanmar. Supervise external legal counsel and ensure efficient handling of court cases, recovery actions, and legal disputes. Provide legal support to the Credit and Recovery teams to improve loan recovery and reduce Non-Performing Loans (NPLs). Develop strategies for alternative dispute resolution and settlement where appropriate. E. Corporate Governance and Board Secretariat Serve as Secretary to the Board of Directors and Board Committees. Organize, coordinate, and document Board meetings, Committee meetings, and Annual General Meetings (AGMs). Prepare and distribute Board meeting agendas, notices, minutes, resolutions, and governance reports. Ensure accurate documentation and tracking of Board decisions and action items. Advise the Board and Management on corporate governance practices, regulatory obligations, and compliance matters. Facilitate Board performance evaluations, director inductions, and governance training programs. F. Statutory and Regulatory Filings Ensure timely and accurate statutory filings with regulatory bodies and relevant authorities. Maintain statutory registers including register of shareholders, register of directors, and corporate records. Monitor regulatory deadlines and maintain a regulatory compliance calendar and governance dashboard. Ensure proper custody and confidentiality of all corporate documents, resolutions, and statutory records. G. Shareholder Relations and Corporate Administration Maintain accurate records of shareholding structures, shareholder agreements, and share certificates. Coordinate shareholder meetings (AGMs/EGMs) and ensure regulatory compliance with all related documentation. Manage communications between shareholders, the Board, and Executive Management. Support transparency and accountability through proper disclosure and reporting practices.
Key Responsibilities Risk Leadership • Lead the development and implementation of the Country Risk Management Framework, policies, and procedures aligned to ASA Group standards • Act as trusted risk advisor to the Country CEO and Management Team, providing independent risk insight and challenge • Embed a strong risk culture across the organization, ensuring ownership of risks by business and functional teams Risk Oversight & Governance • Chair or actively participate in local risk committees, ensuring escalation of material risks to Group level • Conduct regular risk assessments, stress testing, and scenario planning, translating findings into actionable mitigation plans • Monitor key risk indicators (KRIs) and emerging risks, providing timely reports to Country and Group stakeholders Operational & Credit Risk • Oversee credit risk management processes, including portfolio quality reviews, early warning mechanisms, and collections oversight • Ensure effective controls are in place to mitigate operational risks, including fraud, process failures, and external threats Regulatory & Compliance Coordination • Collaborate closely with Group Compliance to ensure adherence to regulatory requirements and ethical standards • Support regulatory inspections, audits, and inquiries, ensuring prompt resolution of identified gaps Crisis & Incident Management • Lead the country-level response to significant risk events or crises, coordinating with Group functions as needed • Maintain robust business continuity and disaster recovery plans Capacity Building • Develop risk management capabilities within the country team through training, coaching, and knowledge sharing.
