A. Contract and Documentation Management 1.Draft, review, and vet standard legal documents, including loan agreements, security documents (e.g., mortgages, debentures, guarantees), and standard operational contracts. 2.Ensure all loan agreements and credit policies are legally sound and protect the institution's interests . 3.Maintain and update the MFI's register of legal documents, contracts, and case files, ensuring proper indexing and security . B. Regulatory Compliance and Advisory 1.Monitor changes in laws and regulations affecting the microfinance sector and report potential impacts 2.Provide timely and accurate legal advice to various departments (e.g., Operations, Credit, HR) on day-to-day legal issues. C. Litigation and Debt Recovery 1.Prepare and file court documents, demand letters, and other legal instruments for the recovery of outstanding debts from defaulting clients. 2.Represent the MFI in court proceedings, tribunals, and negotiations, or coordinate with external counsel for litigation matters. 3.Provide legal guidance to the collections and recovery teams on asset seizures, foreclosure, and other enforcement actions, ensuring compliance with legal and ethical guidelines. D. Policy and Training 1.Assist in the development and review of internal policies, procedures, and legal frameworks to ensure operational compliance. 2.Conduct internal legal research on a variety of issues.
Recruitment & Selection: Manage the end-to-end recruitment process, including sourcing, screening, arranging interviews, conducting reference checks, and extending job offers. Identify and utilize effective online and offline recruitment channels to attract suitable candidates. Onboarding: Coordinate and conduct orientation programs for new employees to facilitate their integration into the organization. Policy Implementation: Support the implementation of HR policies, labor laws, health and safety guidelines, and security procedures. Ensure compliance with all relevant organizational policies and procedures. Compliance: Ensure strict adherence to Myanmar Labor Law and other applicable laws and regulations related to human resources. Administration: Handle HR-related documentation, maintain accurate employee records, and provide support for payroll processing. Employee Relations: Foster positive interpersonal relationships and maintain effective communication channels with employees at all levels within the organization.
IT Infrastructure Management: Oversee and maintain the company’s IT systems, including networks, servers, hardware, and software. Cybersecurity & Data Protection: Implement and manage security policies, firewalls, and backup systems to protect company data. System Administration: Ensure the smooth operation of Windows/Linux servers, databases, and cloud-based solutions. Technical Support & Troubleshooting: Provide IT support to employees, resolve technical issues, and maintain system efficiency. IT Strategy & Planning: Develop IT policies and long-term plans to enhance business operations. Project Management: Lead IT projects, such as system upgrades, software implementation, and infrastructure expansion. Vendor & Budget Management: Manage IT budgets, negotiate with vendors, and procure IT equipment and services. Compliance & Risk Management: Ensure IT operations comply with industry standards and security regulations. Team Leadership & Training: Supervise IT staff, provide training, and enhance team productivity.
Audit Planning and Execution •Develop a comprehensive, risk-based annual audit plan for the MFI, including branch audits, operational audits, and IT audits, in consultation with the Head of Internal Audit and the Audit Committee. •Manage and lead the execution of audit engagements from planning to reporting, ensuring adherence to professional standards and established timelines. •Conduct in-depth reviews of financial statements, accounting records, and operating procedures to detect irregularities, fraud, and illegal acts. •Evaluate the design and operating effectiveness of internal controls over financial reporting, compliance, and operational processes, with a specific focus on microfinance activities such as loan origination, disbursement, collection, and client data management. Risk Management and Control Assessment •Identify and assess significant operational, financial, and compliance risks facing the MFI, particularly those unique to the microfinance environment (e.g., credit risk in group lending, branch security, mobile banking risks). •Provide objective assurance on the management of risk throughout the organization. •Recommend practical and cost-effective improvements to strengthen internal controls, enhance operational efficiency, and mitigate identified risks. Reporting and Communication •Prepare clear, concise, and well-supported audit reports detailing findings, risks, and recommendations for management and the Audit Committee. •Present audit results to senior management and the Audit Committee, facilitating constructive dialogue on control weaknesses and action plans. •Follow up on the timely implementation of agreed-upon audit recommendations and report on the status of outstanding issues. Compliance and Regulatory Adherence •Ensure the MFI's operations comply with all applicable external legislation, central bank regulations, and microfinance-specific regulatory policies. •Stay abreast of changes in the regulatory landscape, industry best practices, and emerging risks relevant to the microfinance sector. Team Leadership and Development •Supervise, mentor, and train the internal audit team, fostering a culture of continuous improvement, professionalism, and ethical conduct. •Manage the performance of direct reports, including setting goals, conducting reviews, and providing coaching.
