Job Summary The Board Secretary is responsible for leading governance, compliance, and legal support for the company’s Board of Directors (BOD). This role ensures strict adherence to the Myanmar Companies Law and other prevailing regulatory rules and regulations. The Board Secretary serves as the primary bridge and vital link for communication between the Board of Directors and upper management. Key Responsibilities 1. Board Governance & Compliance Governance Monitoring: Monitor the operations and workflow of the Board of Directors to ensure strict alignment with Corporate Governance Principles. Policy Review: Periodically review board policies and procedures, and present proposed updates to the BOD for approval. Director Advisory: Provide continuous guidance and advisory support to Directors regarding governance standards and compliance obligations. 2. Board Meeting Management Meeting Coordination: Schedule, organize, and facilitate Board Meetings and various Committee Meetings. Materials Preparation: Compile, prepare, and distribute agendas and comprehensive board papers/packages ahead of meetings. Minutes Writing: Systematically and accurately draft, document, and maintain all meeting minutes. Action Item Follow-up: Track decisions made during meetings and conduct proactive follow-ups on designated action items. 3. Statutory & Regulatory Compliance DICA Filings: Prepare and submit Annual Returns and other essential company filings to the Directorate of Investment and Company Administration (DICA) within statutory deadlines. Records Maintenance: Maintain and regularly update the company constitution, statutory registers, and official corporate books. 4. Board Advisory Role Strategic Advisory: Act as a trusted advisor to Directors on matters concerning legal boundaries, corporate governance frameworks, and financial/operational risks. Legal Alignment: Review board decisions to guarantee they are 100% compliant with existing Myanmar Laws. Conflict of Interest: Actively monitor, identify, and provide counsel on managing any potential conflicts of interest within the board. 5. Documentation & Record Keeping Resolution Archive: Systematically organize, file, and secure all Board Resolutions and meeting minutes for easy retrieval and auditing. Legal Safe-Keeping: Properly index and record all legal documents, deeds, and contracts, ensuring safe custody and reporting to the BOD. Confidentiality Management: Enforce strict data privacy measures to protect and safely maintain highly confidential corporate information.
The Factory Manager is responsible for the overall plant performance, strategic leadership, and day-to-day operational excellence of the Donut 4U manufacturing facility. This role commands full accountability for safety, food quality standards, production output, labor productivity, supply chain coordination, and cost optimization. The ideal candidate will possess deep expertise in FMCG food manufacturing operations, robust leadership capabilities, and a continuous improvement mindset to scale production efficiently. Production & Operations: Direct and monitor daily, weekly, and monthly production schedules to achieve targets on time while minimizing downtime and material wastage. Quality & Food Safety: Ensure all bakery and food items comply with stringent hygiene and quality standards; coordinate closely with QA/QC teams to resolve any issues. Maintenance & Safety: Oversee scheduled machinery maintenance, handle emergency breakdowns promptly, and strictly enforce workplace health and safety protocols. Team & HR Management: Lead, mentor, and evaluate plant staff, manage shift allocations, and foster a disciplined, high-performance work culture. Warehouse & Supply Chain: Monitor raw material and packaging inventory levels, ensure rigorous FIFO stock control, and prevent loss or damage.
