Job Description

An Excellent Opportunity for ...

1) Support corporate legal issues from all aspect.
2) Provide legal support surrounding investment projects, especially in M&A and/or Going Public Transactions, including but not limited to due diligence, project negotiation, legal risks/solutions.
3) Design transaction structure of investment projects.
4) Perform diligence of acquisition target’s corporate documentation including charter documents, state qualifications, capital structure compliance with applicable securities laws, preemptive rights and related matters.
5) Perform other due diligence items such as assessment of existing litigation, titles, business licenses, environmental compliance, and related party transactions.
6) Drafting of term sheets, letters of intent, related exclusivity and confidentiality agreements.
7) Review of all related compliance with applicable regulatory requirement.
8) Perform other tasks required by the Board.

Job Requirements

1) Familiar with Myanmar Company Law, Foreign Investment Law, Contract Law, Securities Exchange Laws, and other relevant financial investment laws.
2) Execution focused with excellent written and verbal communication skills in English and Myanmar (Chinese is preferred).
3) Demonstrate the ability to manage multiple tasks in an fast-paced environment, be extremely organized and have an eye for detail.
4) Strong project management, technology and problem-solving skills are needed.
5) Team player willing to work extended hours when needed.
6) CISI or IBIM candidate is preferred.

Work Experience：2+ years of experience as an attorney with a top-tier law firm or corporation dealing with corporate, complex M&A, and other international business transactions.
