Main Duties / Accountabilities:
Lead and advise Myanmar Operations' management, Company's Board/Shareholders and line departments and proactively devise an effective solution to Company's problems
Identify, advise, evaluate, and mitigate legal exposures and risks (including commercial risks) impacting operations/ activities to safeguard Company’s interest
Provide practical and logical solutions without compromising Company's interest whilst safeguarding company’s image and reputation
Lead and advise Myanmar Operations' Management on legal strategies and the best course of action in pursuing or defending of claims in order to enforce or protect Company's legal rights against and/or by third parties including managing proceedings and coordinating with external lawyers.
Develop and establish terms and conditions for operational contracts and engage in procurement process which includes evaluating tender documents and providing advice and direction to ensure compliance with Myanmar Operations' Tendering and Procurement Policies and Guidelines.
Anticipate, identify, analyze and advise on legal exposure, including regulatory and tax exposures to the company to ensure that the company is protected from possible legal and commercial risk primarily in the business operations/activities undertaken by the company and all dealings between the company and third parties
Ensure that all corporate and company secretarial obligations are discharged in accordance with the requirements of applicable laws and corporate governance. Secretarial duties include preparation for Board/Shareholders'/MC meetings, circulation of notice of meeting, agenda, Board/Shareholders' MC papers, draft minutes, draft written resolution and other documents.
Lead in providing advice, drafting, reviewing, negotiating and finalizing all contractual documents necessary for the implementation of the Company's operations/activities with partners, contractors and the Government. Ensure said documents are well structured and take into account the industry best practices and update laws to safeguard Myanmar Operations' interests.
Initiate, review and implement standardization of documents/clauses of contracts, agreements and procedures relating to the business operations and activities of the various activities, e.g. in drilling, development and other projects or purchases in ensuring consistent/ standardized practices within the Company.
Monitor and advise on development of domestic laws and the geopolitical conditions of the countries and international law that may have impact on business operations and provide general input on the legal, political and economic development in those countries to ensure all legal practices in line with good corporate governance.
Job Requirements
Qualifications/Experience required:
Degree, i.e. LLB (Hons)/ Bachelor of Laws from recognized Universities/Institutions
5-8 years of experience in handling various legal and corporate matters preferably with an expertise and experience in the Oil and Gas Industry would be an advantage
In addition to the above requirement, candidate should have:
Good communication and inter-personal skills
Must be familiar with Microsoft Office software
Fluent in written and spoken English
