Job Description

A Good Opportunity for ..

1. Board Advisory & Corporate Governance

  • Act as a trusted advisor to the Board of Directors and senior leadership on corporate governance principles, best practices, and statutory duties.

  • Ensure all board and committee structures are aligned with corporate governance frameworks and international standards.

  • Lead the onboarding, orientation, and continuous development of Board members regarding local regulatory updates.

2. Secretarial & Board Management

  • Oversee the planning, scheduling, and smooth execution of all Board of Directors Meetings, Committee Meetings, and Annual General Meetings (AGM/EGM).

  • Formulate comprehensive agendas in coordination with the Chairperson/CEO and ensure board papers are distributed securely and timely.

  • Draft highly accurate, professional minutes of meetings and track the implementation of board resolutions and action items.

3. Statutory & Regulatory Compliance

  • Maintain strict compliance with the Directorate of Investment and Company Administration (DICA) and ensure all filings on the MyCO portal are accurate and submitted on time.

  • Manage the maintenance and safekeeping of all statutory registers, company seals, and corporate historical records.

  • Monitor changes in Myanmar corporate laws, investment laws, and regulatory environments, assessing and reporting their impact on the business.

4. Stakeholder & Shareholder Relations

  • Serve as the primary point of contact for institutional investors, shareholders, and regulatory authorities regarding corporate governance and share administrative matters.

  • Manage share transfers, allotments, and dividend distributions in accordance with legal provisions.

Job Requirements

Qualifications & Education:

  • Bachelor’s Degree in Law (LL.B.), Corporate Law, Business Administration, or a related field.

  • A Master’s Degree (LL.M. / MBA) or professional certification as a Chartered Secretary (ICSA / CGI) is highly advantageous.

Experience & Background:

  • A minimum of 10 to 15 years of progressive experience in corporate secretarial practices, corporate governance, or legal compliance.

  • At least 5 years of experience operating in a senior or managerial capacity, directly advising Board members or C-suite executives.

  • Demonstrated track record of handling complex DICA/MyCO compliance matters and interacting with regulatory bodies in Myanmar.

Skills & Competencies:

  • In-depth knowledge of the Myanmar Companies Law (2017), corporate tax regulations, and investment frameworks.

  • High level of emotional intelligence and professional maturity to confidently communicate, influence, and advise senior board members.

  • Native fluency in Burmese and professional-grade business English (both written and spoken) for drafting resolutions and legal minutes.

  • Exceptional drafting and organizational skills with zero tolerance for compliance errors.

  • Absolute trustworthiness with high exposure to sensitive, insider corporate data.
