Job Description

A Big Opportunity for ...

Strategic purpose of the position:

In house legal counsel to advise the company and its subsidiary on all legal related matters and to act as Company Secretary in secretarial matters.

Job responsibilities:

• Proactively provide commercial and pragmatic legal advice and solutions for all aspects of the business and all functional departments (incl. executive
management, finance, supply chain, sales & distribution, marketing, procurement and HR)
• Contracts: Drafting & negotiating a range of commercial contracts, including procurement of goods and services, distribution and wholesaler agreements,
logistics, creative agencies, loan and funding agreements, inter-company agreements
• Compliance: Ensuring that the activities of the company and its subsidiary in general are in compliance with all applicable laws, regulations and internal
Carlsberg policies. Focus areas include: compliance with trade sanctions regulations, screenings of contracting parties, identification of competition law issues,
roll out of Group internal policies, compliance with FDA and advertising regulations, statutory quarterly reporting to the Myanmar Investment Commission
• Dispute resolution: Dealing with termination of contracts, commercial disputes, litigation, regulatory, governance and HR issues
• Managing external lawyers: Liaising and interacting with external lawyers on various matters. Monitor bills and cost effective performance. Prepare legal
budgets and estimates
• Training: Provide legal training and briefing on updates on the law and Group internal policies to Management and employees
• Company secretary role: Arrange for board meetings, prepare draft agenda, compile all information and materials for the Board files and take minutes of
meetings, prepare board and shareholders resolutions, arranging for circulation for and signing, prepare company forms for submission and filing with
authorities (MIC, DICA and CBM), maintain and update all statutory registers and records.

Job Requirements

Educational / minimum requirements:

• Education: Qualified (Myanmar) lawyer
• Languages: Good written and spoken English and Burmese
• Experience: At least five years post qualification experience as a lawyer

Other Personal qualifications / competencies:

• Strong interpersonal/communication skills, able to deal with a wide spectrum of people both internally and externally, incl. government authorities
• Strong commercial law background especially in the negotiation and documentation of commercial contracts relevant to the business
• A good working knowledge of the following legal areas: regulations touching on the production & distribution of FMCG products (ideally alcohol beverages),
commercial laws, product liability, IP, employment, tax and corporate governance
• Knowledge on company secretarial and compliance matters
• Willing to take on new challenges, and go beyond the scope of a traditional lawyer (“can do” attitude)
