Job Description

  • Arrange and coordinate Board and Management meetings
  • Prepare and circulate meeting notices, agendas, and board packs
  • Attend meetings and accurately record minutes and resolutions
  • Ensure compliance with applicable company law and regulatory requirements
  • Maintain statutory registers, corporate records, and company seal
  • Maintain conflict-of-interest disclosures
  • Liaise with regulators, auditors, and external legal advisors
  • Monitor changes in legislation and advise management on impact and compliance
  • Handle capital injection processes and related documentation
  • Organize and coordinate shareholder meetings
  • Manage issuance of share certificates
  • Handle DICA & MIC processes and regulatory submissions
  • Prepare and submit annual returns and quarterly reports
  • Support regulatory filings and governance reporting
  • Ensure proper documentation control and maintain strict confidentiality of corporate records

Job Requirements

  • Bachelor’s degree in Law, Business Administration, Finance, or a related field
  • Minimum (3–5) years of relevant experience in Corporate Secretariat or Corporate Governance roles (preferred)
  • Strong knowledge of company law, regulatory compliance requirements, and corporate governance best practices
  • Experience handling capital injection processes, shareholder meetings, statutory filings, and regulatory submissions (including DICA, MIC, annual returns, and quarterly reports)
  • Excellent drafting skills with proven ability to prepare meeting minutes, board resolutions, and formal corporate documentation
  • High level of integrity, discretion, and professionalism in handling confidential information
  • Strong organizational, time management, and stakeholder management skills
  • Ability to liaise effectively with regulators, auditors, legal advisors, and senior management
  • Detail-oriented with strong documentation control and record-keeping capability
