ROLE PURPOSE

  • This role will assist the Corporate Secretary in fulfilling her duties as stipulated by prevailing laws and as assigned by the board of directors, ensure that the board activities and decisions are in compliance with relevant laws, rules, regulations and directives, and is expected to ensure the integrity of the corporate governance framework of Yoma Bank as well as to interpret any written material between Myanmar to English languages by ensuring the context and meaning are well maintained.
  • Assist in enhancing the current relationships with the institutional investors and support in preparing relevant content and compiling data for the investor reporting.

 

DUTY AND RESPONSIBILITIES

  • Maintaining all required official documents, reports and records of the Board of Directors and Shareholders/ Investors in accordance with applicable laws and regulations;
  • Managing relationships and all issues relating to the Board of Directors and Shareholders/ Investors, including convening Board, Committee and General Meetings;
  • Supporting the manager (Corporate Secretary Office) and corporate secretary in arranging meetings of the directors and shareholders.
  • This responsibility will involve the issue of proper notices of meetings, preparation of agenda, circulation of relevant papers and taking and producing minutes to record the business transacted at the meetings and the decisions taken as per the Bank’s constitution
  • Monitoring developments and evolving best practices in corporate governance and assisting the board of directors in implementation, as needed
  • Supporting the manager (Corporate Secretary Office) and corporate secretary and the board of directors, as needed; responding to director requests as they arise
  • Translating a variety of documents including policies, contracts, government related letters (incoming/outgoing letters) and other related documents with consistency and efficiently
  • Being able to portray the adaptability and flexibility, as well as the ability to make effective use of all available resources.

 

Secondary Roles and Responsibilities relating to Investor Relations

  • Assisting with due diligence, answering RFP, and fulfilling periodical reporting requirements from the Investors
  • Creating and coordinating with various departments to set up the investors’ periodical reporting templates.
  • Supporting the corporate secretary and participating in the drafting, execution, and distribution of the annual report, which should include but not limited to general operations overview, message from the CEO and Executive Chairman of the Bank, directors’ report, financial performance, and shareholder information.

Job Requirements

  • Bachelor’s Degree is a must. Bachelor’s degree in law, business, finance or economics and other related qualifications are highly preferred
  • 1 to 2 years of work experience in corporate finance or banking and other relevant sectors
  • Ability to work in a disciplined and organized manner.
  • Excellent written and verbal skills, relationship-building skills, and the ability to collaborate with the executive team, board of directors and shareholders.
  • Fluency in both English and Myanmar, written and verbal communication with good understanding of grammar, knowledge of specific subjects, interpersonal communication, accuracy, and attention to detail.
